ULCHub Membership Agreement

1. PURPOSE OF THIS AGREEMENT
This Membership Agreement (“Agreement”) is a legally binding contract between Unshakable Leadership Hub Inc. (“ULCHub,” “we,” “our,” “us”) and the undersigned individual (“Member,” “you”).
ULCHub is a professional leadership and referral-based networking organization. This Agreement outlines the terms, expectations, rights, obligations, and standards governing participation in ULCHub programs, hubs, events, meetings, training, materials, systems, and community interactions.
2. MEMBERSHIP BENEFITS
Members receive access to:
- Weekly structured networking meetings
- One-industry-per-seat hub model
- Business referrals and introductions
- Spotlight presentations
- Leadership and mindset training
- Accountability and business development tools
- ULCHub retreats, workshops, and special events
- Private online community groups
- Proprietary ULCHub leadership content, systems, and materials
ULCHub may adjust or enhance its programs to improve the Member experience.
3. DEFINITIONS
3.1 Conduct Violation
Unprofessional, unethical, harmful, misleading, disrespectful, disruptive, aggressive, or culturally misaligned behavior as determined by ULCHub.
3.2 Harassment
Any unwelcome behavior, comment, or conduct that intimidates, humiliates, offends, or causes distress, including bullying and discrimination.
3.3 Chronic Lateness
Arrival after the meeting start time more than three (3) times within ninety (90) days, or any pattern disrupting meeting flow.
3.4 Confidential Information
All business, personal, financial, operational, or proprietary information shared within ULCHub spaces.
3.5 Substitute
A representative attending a meeting on behalf of a Member, subject to ULCHub discretion and approval.
4. ONE SEAT PER INDUSTRY
- Each hub allows only one Member per primary business category.
- Category updates require written ULCHub approval.
- If multiple applicants overlap, acceptance goes to the first approved Member.
5. ATTENDANCE REQUIREMENTS
- Weekly in-person attendance is expected.
- No meetings on statutory holidays.
- Substitutes may attend with ULCHub approval.
- Missing more than three (3) meetings in ninety (90) days may trigger review.
- Chronic lateness may count as absence.
- Repeated absences may lead to suspension or termination.
6. MEMBER PARTICIPATION
Members agree to:
- Attend weekly meetings
- Participate in one-to-one meetings
- Provide referrals when appropriate
- Support fellow Members
- Uphold ULCHub’s heart-led leadership culture
- Maintain professionalism
ULCHub does not guarantee specific referrals or results.
7. CODE OF ETHICS
Members must conduct themselves with:
- Integrity
- Professionalism
- Respect
- Confidentiality
- Honesty
- Collaboration
- Leadership values
Violations may result in termination without refund.
8. MEMBERSHIP FEES
- Annual Membership Fee: $999 CAD
- Term: 12 months from Effective Date
- All payments are non-refundable.
- Membership renews automatically unless cancelled 30 days before renewal.
- Payments must be submitted through ULCHub-approved online systems.
9. BILLING, ONLINE PAYMENTS & CHARGEBACKS
9.1 Payment Authorization
Members authorize ULCHub to charge the stored payment method for membership fees.
9.2 Chargeback Prohibition
Filing a chargeback results in:
- Immediate membership termination
- Member liability for chargeback fees
- Potential legal or collection action
9.3 Failed Payments
If payment fails:
- ULCHub may retry up to three (3) times
- Membership may be suspended
- Termination may occur after seven (7) days
- Late balances may incur interest at 8% above Bank of Canada prime rate
ULCHub does not offer installment plans.
10. AUTOMATIC RENEWAL
- ULCHub will notify Members 30 days prior to renewal.
- Membership renews automatically unless cancelled at least 30 days before renewal.
- Members must ensure their billing method remains current.
11. CANCELLATION POLICY
No refunds are provided for:
- Missed meetings
- Partial months
- Unused membership time
- Conduct-based termination
- Abandonment of membership
ULCHub may, at its discretion, offer a membership credit:
- Valid for up to 2 years
- Not transferable
- Subject to a $100 administrative/rollover fee
Pricing in future years may vary.
12. TERMINATION BY ULCHub
ULCHub may terminate membership for:
- Non-payment
- Repeated absences
- Conduct violations
- Misrepresentation
- Harassment
- Breach of confidentiality
- Disruption of hub operations
No refunds are issued upon termination.
13. CONFIDENTIALITY
- Members must protect all Confidential Information.
- Members may not share ULCHub materials.
- Recording meetings without permission is prohibited.
- Information may not be used outside ULCHub.
- Contact lists may not be distributed.
Breaches may result in termination.
14. MEDIA RELEASE
Members grant ULCHub permission to use their photos, videos, testimonials, and recordings for promotional purposes unless opting out in writing.
15. INTELLECTUAL PROPERTY
All ULCHub content and systems are proprietary. Members may not copy, teach, sell, publish, modify, or distribute ULCHub materials without written permission.
16. LIMITATION OF LIABILITY
ULCHub is not responsible for:
- Loss of income
- Loss of business
- Data loss
- Issues arising from Member interactions
- Referral outcomes
ULCHub’s total liability shall not exceed the membership fees paid in the prior 12 months.
17. INDEMNIFICATION
Members shall indemnify and hold ULCHub harmless for claims arising from:
- Member actions
- Business activities
- Misconduct
- Misrepresentation
- Breach of this Agreement
18. MEETING VENUE & SCHEDULING
ULCHub may:
- Change venues
- Adjust meeting times
- Move meetings online
- Reschedule or cancel meetings
ULCHub is not responsible for Member expenses resulting from changes.
19. EARNINGS DISCLAIMER
ULCHub does not guarantee:
- Income
- Referrals
- Business growth
- Success
Results vary based on Member participation.
20. GOVERNING LAW
This Agreement is governed by the laws of Ontario, Canada.
21. DISPUTE RESOLUTION
Disputes shall follow:
- Written notice
- Informal resolution
- Mediation or arbitration in Ontario
Members waive the right to class actions. ULCHub is not responsible for Member-to-Member disputes.
22. SEVERABILITY
If any part is invalid, the remainder remains enforceable.
23. ENTIRE AGREEMENT
This Agreement supersedes all prior verbal or written agreements.
24. COMPREHENSIVE LIABILITY, WAIVER & RISK ACKNOWLEDGMENT
The entire previously drafted Section 24 remains fully integrated here, unchanged, and applies equally to all ULCHub Activities and all Hubs.
